Terms of use and licence
1. Who we are and what you are buying
CONSULTING EVEREST LLC, a company incorporated in the State of New Mexico (United States), Business ID 7479255, with its address at 8206 Louisiana Blvd NE, Ste A #2970, Albuquerque, NM 87113, grants you a licence to use JUDLEX, a desktop application for the document management of legal case files.
What is bought is a right of use, not ownership of the program. The licence is personal and non-transferable, and does not allow you to assign, sublicense, rent or make the program available to third parties.
2. What the application does, and what it does not do
JUDLEX sorts, splits, numbers and foliates the documents in a case file, extracts facts, dates and parties from them with the citation of the document, page and folio they came from, and prepares reports and deliverables from that material.
What the application does not do, and this is not a temporary limitation:
- It does not give legal advice, nor does it replace the professional's judgement.
- It does not draft pleadings or claims.
- It does not calculate procedural deadlines. It shows the dates that appear in the documents and the period they grant, for the professional to confirm.
- It does not judge the likely outcome of a matter, nor recommend strategy.
- It does not score documents by importance or urgency.
Everything the artificial intelligence proposes is presented as a proposal and requires confirmation by a person. The user is solely responsible for reviewing the material before using it professionally, and for the decisions taken on the basis of it.
3. Account, activation and seats
An account at judlex.com is required in order to subscribe, activate a machine and download the program. The application opens without signing in: the account is only required for what needs a server.
The licence authorises a number of activated seats, not a number of lawyers. A seat occupies one machine; it can be released and activated on another. If an attempt is made to activate a machine with no free seats, the system asks for confirmation before displacing another and never silently displaces someone who is working. Reasonable limits apply to the number of reassignments, to prevent abuse.
4. Price, billing period and AI usage
Price: €79 per seat per month, with no tiers and no volume discounts: the unit price is the same whether one seat is bought or five hundred. Prices are shown excluding taxes, which are added under the applicable rules.
Billing period: at the customer's choice, monthly or annual. On the annual plan ten monthly payments are made instead of twelve, and a further discount applies.
The licence does NOT include artificial-intelligence usage. The price covers use of the program and nothing else.
For JUDLEX to read your case files, the customer hires on their own account the service of an AI provider —Anthropic, OpenAI, Google, xAI, DeepSeek or MiniMax— and configures its key in the application. That provider invoices the customer directly, at its own rates and under its own terms; JUDLEX takes no part in that contract, receives nothing for it, and is not answerable for its prices or availability.
The application shows an estimate of the cost before launching each analysis, and keeps a local record of what has been used, for information only. That estimate is neither an offer nor a price commitment: the amount is determined by the provider.
5. Payment, renewal and cancellation
Payment is by card subscription through Stripe. Card details are entered directly into Stripe and are not processed by us.
The subscription renews automatically for equal periods unless cancelled. Cancellation may be requested at any time from the account and takes effect at the end of the period already paid for: the service continues until that date.
If a charge is declined, the service continues while the issuing bank retries the charge over the usual grace period; if it is ultimately not completed, the licence moves to the situation set out in clause 6.
Changing the number of seats: may be requested at any time. The difference is pro-rated and charged on the following invoice. Seats cannot be reduced below the number of machines currently activated: machines must be released first.
6. What happens when the licence is no longer in force
The firm's work is not held hostage. When the licence expires or is cancelled, the application moves to read mode:
- Still available: opening the application, consulting every case file, searching, correcting data, deleting and exporting everything.
- Stopped: creating new clients, case files, parties and facts; adding and processing documents; and the artificial-intelligence functions, including when your own key is used.
- Not stopped: downloading the program or installing its updates. Continuing to receive fixes and security patches does not depend on holding a licence in force.
The data remains on the customer's machine, in their vault, in open formats —PDF and the exported deliverables.
7. Updates and support
Program updates are free of charge and do not depend on the licence: they are downloaded and installed even with an expired or cancelled licence, so that no copy is left without fixes or security patches. What does require a licence in force is support through the published channels. Indefinite compatibility is not guaranteed with operating-system versions that no longer receive support from their manufacturer.
8. Availability and third-party dependencies
The functions that need a server —subscribing, activation and downloads— depend on the availability of our systems and of third-party providers. Local work does not depend on that availability: the application works offline for the periods stated in clause 3.
We are not answerable for interruptions, rate changes or policy changes of third-party AI providers, nor for the quality of their output. The customer may at any time use their own key with whichever of the offered providers they prefer.
9. The customer's obligations
- To use the application in accordance with the law and their duty of professional secrecy.
- To review the material the application proposes before using it.
- To safeguard their credentials and the provider keys they configure.
- To back up their vault. The application works locally: backup is the firm's responsibility.
- Not to decompile, alter or circumvent the licensing mechanisms.
10. Liability
We are answerable for direct damage caused by our breach, up to the amount paid by the customer in the twelve months preceding the event giving rise to the claim. Excluded are loss of profit, loss of opportunity, and damage arising from professional decisions taken without the review the application itself requires.
No clause of these terms excludes liability that cannot lawfully be excluded, nor liability arising from wilful misconduct or gross negligence.
11. Contracting by professionals
JUDLEX is marketed for use in a professional activity. Where the customer contracts in that capacity they are not a consumer and the right of withdrawal provided for consumer purchases does not apply. Should they contract outside a professional activity, they will be informed of the right of withdrawal and how to exercise it under the applicable rules.
12. Data protection
The processing of the customer's data is governed by the Privacy policy.
JUDLEX does not process the data in the customer's case files. The program runs on the customer's machine and artificial-intelligence requests go straight from that machine to the provider the customer has hired. The customer is the controller of that data and their AI provider is their processor, on the terms of the contract between them.
13. Changes to the terms and to the price
We may change these terms and the price for future periods, giving reasonable notice and, in any event, before renewal. If the customer does not accept the change, they may cancel before it takes effect, without penalty.
14. Governing law and jurisdiction
These terms are governed by the laws of the State of New Mexico, United States, where CONSULTING EVEREST LLC is incorporated, without prejudice to any mandatory consumer-protection provisions applicable in the customer's country of residence. Any dispute shall be submitted to the courts having jurisdiction under the applicable law.
